Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Meta Council platform ("Service"), operated by Meta Council, Inc. ("Company," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

Meta Council is an AI-powered multi-expert reasoning platform that provides synthesized analysis from multiple AI agent perspectives. The Service includes:

2.1. You must create an account to access most features. You agree to provide accurate information and keep your credentials secure.

2.2. You are responsible for all activity under your account. Notify us immediately of any unauthorized access.

2.3. You must be at least 18 years old to create an account.

3. Subscription Tiers and Billing

3.1. Free Tier: 5 queries per day, all agents and panels, default model (Qwen 2.5 7B), 2 custom agent prompts. No cost.

3.2. Pro Tier: $49/month. 50 queries per day, choose any model, unlimited custom agents, custom synthesis strategies, developer API access, marketplace selling.

3.3. Enterprise Tier: Custom pricing. Unlimited agents, dedicated support, SSO, SLA guarantees.

3.4. API Access: Metered pricing based on model selection and query volume. See /api/pricing for current rates.

3.5. Promotional codes grant temporary tier upgrades and are non-transferable. Promotional access expires at the stated expiration date.

3.6. We reserve the right to modify pricing with 30 days' written notice to active subscribers.

5. Intellectual Property

5.1. Platform IP

The Service, including all built-in agent system prompts, synthesis strategies, the agent template library, software code, and design, is the proprietary intellectual property of the Company. Built-in agent prompts are trade secrets and are not exposed via the API or UI.

5.2. User-Created Content

You retain ownership of agents, councils, and synthesis strategies you create. You have full control over the creation, modification, and deletion of your agents at any time.

By creating content on the platform (including but not limited to agent system prompts, analytical frameworks, synthesis strategies, council configurations, and any text submitted through the Service), you grant the Company a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable license to use, copy, modify, distribute, display, create derivative works from, and otherwise exploit such content for any purpose, including but not limited to: operating and improving the Service, training machine learning and artificial intelligence models, analytics and research, developing new products and features, and any other commercial or non-commercial purpose at the Company's sole discretion. This license survives termination of your account.

By listing content on the Marketplace, you additionally grant us the right to display, distribute, and facilitate transactions of your content, and to use your creator name and agent metadata for promotional purposes.

5.3. Revenue Sharing

Creators who list agents on the Marketplace may earn revenue through: (a) one-time acquisition fees set by the creator, and (b) usage-based revenue sharing when their agents are used in council queries. The current revenue split is 70% to the creator and 30% to the platform, subject to change with 30 days' notice. Revenue sharing is calculated based on token usage attributed to the creator's agent during council execution. Minimum payout thresholds and payment terms are detailed in the Marketplace Creator Agreement.

5.4. AI-Generated Output

The synthesized analysis and individual agent responses generated by the Service are provided for informational purposes. You may use these outputs in your business decisions, reports, and documents. We make no claim of ownership over AI-generated outputs from your queries.

6. Marketplace Terms

6.1. Sellers: By listing agents or councils for sale, you represent that you have the right to sell the content and that it does not infringe third-party rights.

6.2. Pricing and Revenue: Sellers set their own acquisition prices. The platform retains 30% of all marketplace transactions and usage-based revenue. Creators receive 70%. Revenue from usage-based earnings is calculated per-query based on tokens consumed by the creator's agent and paid out monthly, subject to a minimum threshold of $10.00.

6.3. Refunds: Digital goods are non-refundable once acquired (forked). Buyers receive a full copy of the agent at the time of purchase.

6.4. Reviews: Reviews must be honest and based on actual use. We may remove reviews that violate these Terms.

6.5. Prohibited Listings: Agents designed to produce harmful, illegal, or deceptive content are prohibited and will be removed.

7. API Terms

7.1. API access requires an API key generated through the platform. Keys are secrets; do not share them.

7.2. API usage is metered and billed per query based on the model used and number of agents. Current pricing is available at /api/pricing.

7.3. Rate limits apply per API key and per account. Exceeding limits returns HTTP 429.

7.4. We reserve the right to revoke API keys that are used in violation of these Terms.

8. Rate Limits and Usage Caps

8.1. All tiers are subject to rate limits to ensure fair access and platform stability:

8.2. Global platform limits exist to prevent infrastructure overload. During peak usage, queries may be queued.

8.3. Attempting to circumvent rate limits (multiple accounts, distributed requests, etc.) is a violation of these Terms.

9. Disclaimer of Warranties

9.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

9.2. AI outputs are not professional advice. The Service provides AI-generated analysis for informational purposes only. It does not constitute legal, medical, financial, military, engineering, or any other professional advice. Always consult qualified human professionals before making critical decisions.

9.3. We do not guarantee the accuracy, completeness, reliability, or timeliness of any AI-generated content.

9.4. We do not warrant uninterrupted or error-free service.

10. Limitation of Liability

10.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

10.2. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10.3. YOU EXPRESSLY ACKNOWLEDGE THAT AI-GENERATED ANALYSIS MAY CONTAIN ERRORS, AND YOU ASSUME ALL RISK FROM RELIANCE ON SUCH OUTPUT. The Company is not responsible for decisions made based on AI-generated council synthesis.

11. Indemnification

You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) content you create and list on the Marketplace; (d) decisions made based on AI-generated outputs.

12. Data and Privacy

12.1. We collect and process personal data in accordance with our Privacy Policy.

12.2. Query data: Your queries and synthesis results are stored for your session history. We do not use your query content to train AI models.

12.3. API keys: Stored as one-way hashes (SHA-256). We cannot retrieve your full key after creation.

12.4. Third-party API keys: Your Anthropic/OpenAI/Google/Mistral keys are stored encrypted and used only to make API calls on your behalf. We never expose these keys in the UI or logs.

13. Third-Party Services

13.1. The Service integrates with third-party AI providers (Anthropic, OpenAI, Google, Mistral). Your use of these models is subject to their respective terms of service.

13.2. When you provide your own API keys, you are responsible for compliance with the respective provider's terms.

13.3. We are not responsible for outages, rate limits, or policy changes imposed by third-party providers.

14. Termination

14.1. You may delete your account at any time. Account deletion removes your data within 30 days.

14.2. We may suspend or terminate accounts that violate these Terms, with notice when practicable.

14.3. Upon termination, your right to use the Service ceases. Data may be retained as required by law.

15. Dispute Resolution

15.1. These Terms are governed by the laws of the State of Delaware, USA.

15.2. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court.

15.3. Class action waiver: You agree to resolve disputes individually, not as part of a class action.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

17. Miscellaneous

17.1. If any provision is found unenforceable, the remaining provisions remain in effect.

17.2. Our failure to enforce any right does not waive that right.

17.3. These Terms constitute the entire agreement between you and the Company regarding the Service.
